These Terms apply to purchases and use of Lay Theme, Lay Theme Addons, license upgrades, downloads and related services. Any conflicting customer terms apply only if We expressly agree to them in writing. Mandatory consumer rights remain unaffected.
Lay Theme is a WordPress theme. Using it requires a compatible WordPress installation, a domain and suitable third-party webhosting. WordPress, domains, webhosting and other third-party services are not included unless a product page expressly says otherwise.
The product description shown when You place the order determines the included theme, Addons and activation limit. A Single License is for one Website, a Pro License for up to three Websites and a Studio License for up to ten Websites. A Website may be personal or commercial. Addons and upgrades are limited to the scope described on the relevant purchase page.
You are responsible for maintaining backups and checking compatibility before installing updates on a production Website.
Lay Theme products are one-time purchases and not subscriptions. The displayed base price does not include separate costs for webhosting, domains or optional third-party services.
Dodo Payments acts as Merchant of Record and handles checkout, payment processing, applicable VAT, GST or sales tax, fraud checks, invoicing and refunds. Taxes depend on the customer's location and, where applicable, a valid business tax ID. The final total, currency and tax amount are shown by Dodo Payments before the order is submitted.
Available payment methods are displayed in the Dodo checkout. A purchase is completed when payment is successfully authorized and confirmed. Your card or bank statement may show Dodo Payments as the merchant.
After successful payment, download links and any license key are displayed on the success page and/or sent to the email address provided during checkout. Delivery may be delayed briefly while payment, fraud or license checks complete.
You are responsible for providing a correct email address and retaining Your license key and downloads. If delivery fails, contact info@laytheme.com with the purchase email address or payment reference.
Upon full payment, You receive a non-exclusive, non-transferable license to install and use the purchased product within the activation limit shown at purchase. The license itself is a one-time purchase and does not renew automatically.
You may customize Lay Theme for Your own licensed Websites or for client Websites covered by Your activation limit. You may not resell, sublicense, redistribute, publish or provide the theme, Addons, license key or download files as a standalone product or make them available to unlicensed third parties.
We may deactivate or restrict a license where reasonably necessary to address payment reversal, fraudulent use, public sharing of a license key or material violation of these Terms. We will not limit mandatory rights without legal basis.
We maintain Lay Theme and may provide updates, compatibility fixes, documentation and support resources. Features, screenshots, integrations and technical requirements may change as WordPress, browsers and third-party services evolve. We do not guarantee that every current feature or integration will remain unchanged indefinitely.
Support is provided through the channels described on the Support page. Support does not include general web-development work, third-party hosting administration or debugging unrelated plugins and custom code unless We expressly agree otherwise.
Our voluntary 14-day refund policy is described in the Refund Policy. It applies in addition to mandatory statutory rights.
For digital content, statutory withdrawal rights may be affected once delivery begins after the consumer's express request and acknowledgement, where permitted by law. Nothing in these Terms excludes rights that cannot legally be excluded.
Lay Theme interacts with WordPress and may be used with third-party plugins, hosting providers, payment services and external platforms. Their own terms and privacy policies apply. We are not responsible for third-party services, but this does not limit Our responsibility for selecting and operating processors used to fulfil Your Lay Theme purchase.
We aim to keep the Website, downloads and license services available but cannot guarantee uninterrupted operation. Maintenance, security incidents, network failures and third-party outages may cause temporary interruptions.
Statutory warranty rights apply. Any additional promise or guarantee applies only if expressly stated in the product description or confirmed by Us in writing.
We are liable without limitation for intent, gross negligence, injury to life, body or health, fraudulently concealed defects, guarantees expressly assumed and liability required by applicable product-liability law.
For ordinary negligence, We are liable only for breach of an essential contractual obligation and only for the foreseeable damage typical for the contract. An essential obligation is one whose performance is necessary for proper fulfilment of the contract and on which the customer may regularly rely. Mandatory consumer rights remain unaffected.
Lay Theme, its code, design, documentation, media and branding are protected by intellectual-property law. The purchase grants only the usage rights expressly described in these Terms. Third-party materials remain subject to their respective licenses.
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers, this choice does not remove mandatory protections of the country in which they habitually reside.
If You have a concern, please contact Us first so We can try to resolve it. We are not obliged and do not voluntarily participate in dispute-resolution proceedings before a consumer arbitration board unless required by law.
The version in effect when You place an order governs that purchase. We may update these Terms for future purchases or where a change is reasonably necessary because of law, security, product development or third-party services. Material changes affecting existing contractual relationships will be communicated where legally required.
